1. Services Provided CodeEscrow.cloud provides a digital code escrow service that secures software source codes and ensures their availability to beneficiaries under predefined conditions ("Escrow Services").

2. Account Registration You must register for an account to access most features of the Service. By registering, you agree to provide accurate, current, and complete information and to keep this information updated.

3. Use of Service You agree to use the Service only for lawful purposes and not to:

  • Violate any applicable law or regulation;
  • Infringe the intellectual property rights of others;

4. Fees and Payments Specific details regarding fees, payment schedules, and methods will be provided at the time of service agreement. All fees are non-refundable except as required by law.

Intellectual Property All intellectual property rights in the Service and its content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by CodeEscrow.cloud, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Termination We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

7. Disclaimers Our Service is provided on an "AS IS" and "AS AVAILABLE" basis. CodeEscrow.cloud makes no representations or warranties of any kind, express or implied, as to the operation of their services, or the information, content, or materials included therein.

8. Limitation of Liability In no event will CodeEscrow.cloud, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

9. Indemnification You agree to defend, indemnify, and hold harmless CodeEscrow.cloud and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

10. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
